If you are accepting these Terms on behalf of a company or organization, you represent and warrant that you have authority to bind that entity.

Invoiciti is a cloud-based invoicing platform that enables users to:

Create and send invoices.

Generate FIRS-compliant e-invoices with TIN and IRN validation.

Automate billing, reminders, and payment collection.

Accept payments via integrated payment processors (such as Paystack, Flutterwave, and Stripe).

Manage clients and track transactions securely.
We may modify or enhance the Platform at any time, with or without prior notice.
3. Eligibility

You must be at least 18 years old to use Invoiciti.

You must provide accurate, truthful, and current information during registration.

If you are using the Platform on behalf of a company, you must have the legal right to do so.
4. Account Registration & Security

You are responsible for safeguarding your login credentials.

You agree to immediately notify us of any unauthorized access or use of your account.

Invoiciti is not liable for losses caused by unauthorized use of your account.
5. Acceptable Use
When using Invoiciti, you agree NOT to:

Violate any applicable laws, regulations, or FIRS/NITDA e-invoicing rules.

Post or transmit harmful or illegal content.

Interfere with or disrupt the platform’s operations or security.

Attempt to gain unauthorized access to other users’ data or the platform infrastructure.

Copy, reverse engineer, or redistribute the platform without permission.
We reserve the right to suspend or terminate accounts engaged in prohibited activity.
6. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, software, and code — are owned or licensed by Invoiciti and are protected by copyright, trademark, and other applicable laws.

You may not use our name, logo, or materials without prior written consent.
7. Third-Party Services
Invoiciti may integrate with third-party tools or services, including payment processors.
Use of these services is subject to their respective terms and privacy policies.
We are not responsible for third-party platforms.
8. Payment and Subscriptions

Certain features require a paid subscription.

By subscribing, you authorize us or our payment partners to charge your payment method as agreed.

All payments are non-refundable except as required by law.
9. Disclaimer of Warranties

We make no guarantees regarding uninterrupted service, error-free operation, or security of the platform.

10. Limitation of Liability
To the fullest extent permitted by law:

Invoiciti shall not be liable for indirect, incidental, consequential, or punitive damages.

Our total liability for any claim shall not exceed the amount paid by you in the preceding 12 months.

We are not responsible for compliance errors caused by incorrect user input or misuse of the platform.
11. Termination
We may suspend or terminate your account if:

You violate these Terms or applicable laws.

Required by regulatory authorities.

Payment or subscription lapses.
Upon termination, your access will end immediately. Some data may be retained as required by law (e.g., financial records).

Your use of Invoiciti is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.
13. Governing Law & Jurisdiction
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any disputes shall be resolved exclusively in the courts of Nigeria.
14. Changes to Terms
We may update or modify these Terms at any time. Changes will be effective upon posting on this page. Continued use of the Platform after changes means you accept the updated Terms.
