Invoiciti — Terms of Service

1. Introduction

Welcome to Invoiciti (“we,” “us,” “our”). These Terms of Service (“Terms”) govern your access to and use of the Invoiciti website (https://invoiciti.com) and the invoicing platform, including related applications, tools, integrations, and services (collectively, the “Service”).

By creating an account, accessing, or using our Service, you agree to these Terms. If you do not agree, do not use the Service.


2. Eligibility

  • You must be at least 18 years old to use the Service.

  • If you are using the Service on behalf of a business or organization, you represent that you are authorized to bind that entity to these Terms.

  • You must comply with all applicable laws and regulations (including Nigerian tax laws and e-invoicing regulations).


3. Accounts

  • You must create an account to use most features of the Service.

  • You agree to provide accurate and complete information during registration, including your Tax Identification Number (TIN) where required.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

  • Notify us immediately if you suspect unauthorized access or account compromise.


4. Service Description

Invoiciti is a cloud-based invoicing platform that allows users to:

  • Create and manage invoices in compliance with FIRS/NITDA e-invoicing regulations.

  • Generate IRNs and TIN-verified invoices where applicable.

  • Send invoices and payment links via integrated payment gateways (Paystack, Flutterwave, Stripe).

  • Manage clients, track payments, and automate reminders.

  • Access audit logs, reporting, and other business tools.

We may update or improve the Service from time to time. Certain new features may be subject to additional terms.


5. Subscription and Payments

  • Some features of Invoiciti require a paid subscription.

  • Subscription fees and billing terms are described on our Pricing page.

  • By subscribing, you authorize us (or our payment processor) to charge your selected payment method on a recurring basis.

  • All fees are stated in Nigerian Naira (₦) unless otherwise stated.

  • Taxes, if applicable, will be charged in addition to subscription fees.

  • You may cancel your subscription at any time. Your account will remain active until the end of the current billing cycle.


6. User Content & Data

  • You own the invoices, client data, and business records you upload or generate using the Service.

  • You grant Invoiciti a limited, non-exclusive, royalty-free license to process, transmit, and store this data to provide the Service.

  • You are solely responsible for ensuring the accuracy, legality, and completeness of your data and compliance with applicable tax and regulatory obligations.

  • We may remove or disable content that violates these Terms or the law.


7. Compliance with Laws

  • You agree to comply with all applicable laws, regulations, and FIRS/NITDA e-invoicing rules.

  • Invoiciti provides tools to assist with compliance but is not responsible for your legal obligations as a business.

  • You are responsible for issuing valid, lawful invoices and tax reporting to authorities.


8. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, or abusive purposes.

  • Attempt to access other users’ accounts or data.

  • Interfere with or disrupt the security or integrity of the platform.

  • Reverse engineer, copy, or resell the Service without authorization.

  • Upload malicious code or conduct security attacks.


9. Intellectual Property

  • All intellectual property rights in the Service and website (excluding user content) belong to Invoiciti or its licensors.

  • You may not reproduce, distribute, or create derivative works from any part of the platform without written permission.


10. Third-Party Services

The Service integrates with third-party tools and payment gateways (e.g., Paystack, Flutterwave, Stripe). Use of these services is subject to their own terms and privacy policies. Invoiciti is not responsible for third-party services or failures.


11. Termination

We may suspend or terminate your account:

  • If you breach these Terms.

  • If required by law or regulatory authorities.

  • If your payment fails or subscription lapses.

You may terminate your account at any time by contacting support. Upon termination, we will retain data only as required by law.


12. Disclaimer of Warranties

The Service is provided “as is” and “as available.”
We make no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee uninterrupted, error-free, or fully secure operation.


13. Limitation of Liability

To the fullest extent permitted by law:

  • Invoiciti shall not be liable for indirect, incidental, consequential, or punitive damages.

  • Our total liability for any claim shall not exceed the amount paid by you in the preceding 12 months.

  • We are not responsible for tax penalties, regulatory fines, or missed compliance obligations resulting from your use of the platform.


14. Indemnification

You agree to indemnify and hold harmless Invoiciti, its affiliates, employees, and partners against any claims, damages, liabilities, costs, or expenses arising from:

  • Your use of the Service.

  • Your breach of these Terms.

  • Your violation of applicable laws or regulations.


15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Nigeria.


16. Changes to Terms

We may update these Terms from time to time. If material changes occur, we will provide notice via email or platform notification. Continued use of the Service after changes constitutes your acceptance.
